Terms of Service

1. Acceptance of Terms

By accessing or using the PPWR compliance software service (“Service”), operated by PPWR Software S.L. (“Company”, “we”, “us”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time; continued use after changes are posted constitutes acceptance of the revised Terms.

2. Service Description

PPWR is a SaaS platform that helps e-commerce businesses comply with EU packaging regulations (including the Packaging and Packaging Waste Regulation, PPWR). The Service enables you to:

  • Import and manage product and packaging data (BOMs)
  • Import sales data and compute packaging quantities
  • Generate country-specific EPR declaration files for PROs in Spain (ECOEMBES), France (CITEO), Germany (LUCID), Italy (CONAI), the Netherlands (Afvalfonds), and Portugal (SPV)
  • Track compliance issues and resolve data gaps

The Service does not constitute legal advice. You remain responsible for ensuring your declarations are accurate and submitted on time to the relevant PROs.

3. User Accounts and Tenant Responsibility

Each subscription is associated with a single tenant (company account). The tenant administrator is responsible for managing user access within their organisation.

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately at legal@ppwr.io if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Upload or transmit malicious code, spam, or content that infringes third-party rights
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell or sublicense access to the Service without prior written consent

5. Payment Terms

Paid plans are billed through Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis at the selected billing interval.

  • All prices are shown in EUR and are exclusive of VAT unless stated otherwise.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • You may cancel at any time via the billing portal; access continues until the end of the current billing period.
  • We do not offer refunds for partial periods unless required by applicable law.
  • We reserve the right to change pricing with 30 days’ notice.

6. Data Processing

By using the Service you upload business data (product catalogues, sales records, packaging weights) that we process on your behalf. Our handling of personal data is governed by our Privacy Policy. For enterprise customers requiring a Data Processing Agreement (DPA), please contact us at legal@ppwr.io.

7. Intellectual Property

The Service, including its software, design, and content, is owned by PPWR Software S.L. and protected by intellectual property laws. You retain ownership of the data you upload. By uploading data, you grant us a limited licence to process it solely to provide the Service.

8. Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or regulatory penalties, arising out of or in connection with your use of the Service.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.

The Service is provided “as is”. We make no warranties regarding the accuracy, completeness, or fitness for a particular purpose of declaration files generated by the Service. You are responsible for verifying declarations before submitting them to PROs.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, without prejudice to your rights as a consumer under the law of your country of residence (where applicable).
